Agreement Overview

This Agreement ("Agreement") is between PropulsionAI, Inc., a Delaware C Corporation ("Provider"), and the company or person accessing or using our services ("Customer"). By signing up, accessing, or using our services, you agree to be bound by the terms and conditions of this Agreement.

Key Terms

  • Customer: The company or person who accesses or uses the Product. If acting on behalf of a company, "Customer" refers to that company.
  • Provider: PropulsionAI, Inc.
  • Effective Date: The date Customer first accepts this Agreement.
  • Governing Law: The laws of the State of Delaware.
  • Chosen Courts: The state or federal courts located in Delaware.

Subscription Details

  • Cloud Service: PropulsionAI provides a cloud service for AI finetuning, Retrieval-Augmented Generation (RAG) Knowledgebases, and managing both open-source and custom models.
  • Subscription Start Date: The Effective Date.
  • Subscription Period: 1 month(s).
  • Non-Renewal Notice Period: At least 30 days before the end of the current Subscription Period.
  • Cloud Service Fees: Fees are based on hardware usage and storage consumption. Pricing details are available on our pricing page. Updates to product pricing will be communicated with at least 7 days' notice.
  • Payment Period: 5 day(s) from the last day of the Subscription Period.
  • Invoice Period: Monthly.

Customer and Provider Obligations

Customer represents that they are authorized to accept this Agreement on behalf of their company. Both parties agree to fulfill their respective responsibilities as outlined in this Agreement.

Open-Source Model Terms

By using any open-source models provided by PropulsionAI, Customer agrees to the terms and conditions of those models. The specific terms will be shown when the model is selected.

Use of Trained Models

Customers have full control over how they use their trained models. PropulsionAI does not control, limit, or restrict the use of these models and does not guarantee or take liability for their performance or usage outcomes.

Data Policy

PropulsionAI has a zero data retention policy. All conversations via inference and datasets passed for training are removed within 24 hours of task completion. The only data stored includes datasets, knowledgebase files, and user-trained models.

Misuse of Platform

PropulsionAI reserves the right to block users who misuse the platform. Misuse includes, but is not limited to, illegal activities, abuse of services, and violations of terms.

Modifications and Notices

PropulsionAI may update product pricing and other terms with at least 7 days' notice to Customer, communicated via email or within the Product.

Limitation of Liability

PropulsionAI shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from:

  • Customer's use of the services.
  • Any unauthorized access, use, or alteration of Customer's transmissions or content.

Termination

Either party may terminate this Agreement upon 30 days' written notice to the other party. Upon termination, all rights granted to Customer under this Agreement will immediately cease.

Governing Law and Dispute Resolution

This Agreement will be governed by the laws of the State of Delaware. Any disputes arising out of or relating to this Agreement will be resolved in the state or federal courts located in Delaware.
